Terms and Agreements
THE TERMS AND CONDITIONS OUTLINED HEREIN GOVERN ALL PROJECTS AND AGREEMENTS EXECUTED BETWEEN LUCY PITTROFF STUDIOS (“LP STUDIOS”) AND ITS CLIENTS (“CLIENT”) AND APPLY TO ALL SERVICES PROVIDED UNDER SUCH AGREEMENTS.​

Independent Contractor
​
LP Studios operates as an independent contractor and not as an employee, agent, or representative of the Client. LP Studios retains full control over the means and methods of delivering services, with the Client specifying only the desired results. This agreement does not create a partnership, joint venture, or employer-employee relationship. LP Studios is responsible for all taxes, insurance, and benefits associated with its independent status. The Client holds no liability for such obligations. Additionally, LP Studios is not bound by the Client’s hours of operation, work schedules, or employment-specific policies.

LP Studios operates under a studio-based model. While Lucy Pittroff may serve as the primary strategic lead on select engagements, not all services are performed directly by Lucy Pittroff. Work may be executed by trusted team members and independent contractors engaged by LP Studios and operating under its direction. All work follows LP Studios’ established standards, processes, and quality controls. Direct access to Lucy Pittroff is not guaranteed and is not required for successful project execution.

Asynchronous Work Model
LP Studios does not operate as an on-call or emergency service (e.g. expedited, same-day, or after-hours requests) or function as an employee or in-house team. All projects and requests are scheduled intentionally based on scope and availability.

Time Reporting and Usage Records: LP Studios may provide time or usage reports at any point during an active ninety (90) day consulting package as requested by the Client. Time records are archived upon completion of the consulting package. LP Studios is not responsible for providing reports after the package end date.

Scope of Work
​
LP Studios offers flexible marketing consulting services designed to provide expert guidance and support. This includes marketing strategy consultations, live Q&A sessions, screen-recorded tutorials and walkthroughs, hands-on training for marketing tools and platforms, and expertise for pressing marketing questions.

"Light" marketing services, such as minor graphic design, Shopify management, tech research, or copywriting assistance, may be accommodated at LP Studios’ discretion. However, if your needs extend to larger project-based initiatives, you will need to transition to a Retainer or Project-Based agreement.

Exclusions
​
The following services are not included in consulting contracts and require separate proposals:

Travel or Events
These projects require a more significant time commitment, and providing a separate proposal ensures full transparency regarding the scope, timeline, and cost from the start. LP Studios reserves the right to decline work outside the scope of its offerings or that does not align with its team’s capabilities. LP Studios provides strategic consulting, training, and guidance but does not transfer proprietary workflows, templates, or in-house processes as part of consulting engagements.

Source Files & Ownership
​
Final deliverables are provided in non-editable formats (e.g. PDF, JPG, PNG) unless otherwise stated in the approved scope. Source files (including, but not limited to, Adobe files, original artwork, and Canva templates) remain the property of LP Studios. If these files are requested, a fee will apply. This fee reflects the value of reusable, shareable templates. LP Studios reserves the right to deny requests that conflict with proprietary systems and business interests.

File Retention
​
LP Studios retains project files, including source files and working documents, for a period of 6 months following final delivery or project completion. After this period, LP Studios is not responsible for storing, maintaining, or retrieving project files, and such files may be permanently deleted at LP Studios’ discretion. Clients are responsible for downloading and securely storing all final deliverables upon receipt. File retrieval requests made after the retention period cannot be guaranteed.

Accessibility & ADA Compliance
​
LP Studios is not an accessibility or ADA compliance consultancy and does not provide legal, regulatory, or compliance-related services. While LP Studios designs, builds, and manages websites using platforms that support baseline accessibility features, LP Studios does not guarantee that any website, digital product, or deliverable will meet the requirements of the Americans with Disabilities Act (ADA) or WCAG 2.1 AA. Clients are solely responsible for ensuring their website’s compliance with applicable accessibility laws and regulations.
Pre-vetted referrals to third-party accessibility specialists: BeAccessible, AudioEye, and UserWay.

Payment Terms
​
All consulting hours must be paid upfront, are non-refundable, and must be used within three months (90 days) from the date of payment. All payments must be made via Credit/Debit or ACH/Wire Transfer through QuickBooks. Renewals
​
​Clients will be notified when their hours have been fully utilized and will have the option to secure additional hours. However, availability is not guaranteed for immediate continuation. Due to other project commitments, ongoing work may not be consecutive, and there may be a gap between the completion of one package and the start of a new one if time is not pre-secured. To avoid scheduling disruptions, clients are encouraged to renew their packages in advance to maintain continuity.

Scheduling & Allocation
​
Consulting hours are scheduled based on availability and cannot be used in large, condensed blocks without prior approval. While LP Studios aims to accommodate client needs, scheduling is subject to availability and must be planned in advance. Clients are encouraged to use their hours strategically over time for maximum effectiveness.

Communication & Requests
​
All communications and requests must be submitted in writing via email. LP Studios is not responsible for tracking or fulfilling requests sent through other channels (e.g., text messages, or social media). This ensures all items are clearly documented and accurately reflected. LP Studios will make reasonable efforts to respond to client inquiries within 1-5 business days, excluding weekends and public holidays.

Harassment Policy
​
LP Studios maintains a zero-tolerance policy for harassment of any kind, including verbal, written, or disruptive behavior. This includes any communication or conduct that is abusive, offensive, or detrimental to LP Studios’ operations. If harassment occurs, LP Studios reserves the right to terminate the agreement immediately, without prior notice. Termination under this clause will result in forfeiture of all fees paid.

Confidentiality
​
Both LP Studios and the Client agree to keep all proprietary or sensitive information confidential. Confidential information includes, but is not limited to:

Business plans, financial data, marketing strategies, and Client lists.

Trade secrets, project specifications, and any information marked confidential or understood as such.
